What is a limited liability company in Spain?

The limited company or SL, is formally called a limited liability company (SRL), and in a capital company; a company with a commercial purpose and legal personality in which each partner responds to their responsibilities up to the amount they have contributed to the capital, leaving their personal property aside.

What are the requirements to create a limited liability company?

Firstly, you must have the minimum capital, which is 3,000 euros. In the same way, you must have a unique name for your company and a bank account where you can deposit the shared capital. Those companies whose partners are abroad must appoint a manager resident in Spain.

What are the steps to create a limited liability company?

In order to start operating with your limited liability company, we will request to make its name official in the Mercantile Registry, take care of everything related to the opening of the corporate bank account, draw up the bylaws with you, formalize the constitution before a notary, we will obtain the NIF (Tax Identification Number) of your company and we will carry out the required procedures in the Tax Agency and Social Security.

How long does it take to create a limited company?

If you already have a NIE (identification number for foreigners in Spain), the constitution will take approximately one month.

If before constituting it we must request that you be assigned a NIE because you do not yet have one, the process will take approximately two months.
